Binding Agreement

These Terms and Conditions constitute a legally binding agreement between you and TestLab. By accessing our website, enrolling in courses, or using any of our services, you acknowledge that you have read, understood, and agree to be bound by these terms in their entirety.

If you do not agree with any provision of these Terms and Conditions, you must immediately discontinue all use of our services. Your continued use following any modifications to these terms signifies your acceptance of such changes.

User Obligations and Conduct

General Responsibilities

As a user of TestLab services, you agree to:

2. Maintain the confidentiality of your account credentials and accept responsibility for all activities under your account

Prohibited Activities

B. Engage in fraudulent activities, misrepresentation, or deceptive practices
C. Distribute malware, viruses, or any other malicious code
D. Attempt to gain unauthorized access to our systems, networks, or other users' accounts
E. Interfere with or disrupt the integrity or performance of our services
F. Copy, reproduce, distribute, or create derivative works from our content without authorization
G. Harass, threaten, defame, or otherwise harm other users or TestLab staff
H. Use automated systems or scripts to access or extract data from our platform

Content Guidelines

When submitting projects, participating in discussions, or creating content on our platform, you must ensure that your contributions:

• Are appropriate for an educational environment
• Do not infringe on intellectual property rights
• Are free from offensive, discriminatory, or inappropriate material
• Comply with our community standards and academic integrity policies

Age Requirements and Eligibility

To use TestLab services, you must be at least 16 years of age. By accessing our services, you represent and warrant that you meet this age requirement. Users between 16 and 18 years of age should review these terms with a parent or legal guardian.

We reserve the right to verify age eligibility and may request documentation if we suspect misrepresentation. Accounts found to be in violation of age requirements will be terminated immediately.

Disclaimer of Warranties

Service Provision

TestLab services are provided "as is" and "as available" without warranties of any kind, either express or implied. We disclaim all warranties, including but not limited to:

• Merchantability: We do not guarantee that our services will meet your specific needs or requirements
• Fitness for Purpose: We make no warranties regarding the suitability of our courses for particular career outcomes
• Non-Infringement: While we take reasonable precautions, we do not warrant that our services are free from all intellectual property conflicts
• Uninterrupted Service: We do not guarantee continuous, uninterrupted, or error-free access to our platform
• Accuracy: While we strive for accuracy, we do not warrant that all content is current, complete, or error-free

Educational Results

We make no guarantees or warranties regarding employment outcomes, salary increases, certification exam success, skill acquisition rates, or any other specific results from completing our courses. Educational outcomes depend on numerous factors including individual effort, prior knowledge, market conditions, and personal circumstances beyond our control.

Limitation of Liability

General Limitations

To the maximum extent permitted by applicable law, TestLab shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

3. Loss of goodwill or reputation
4. Business interruption or work stoppage
5. Cost of substitute services or courses
6. Failure to achieve expected career advancement

Maximum Liability Cap

In no event shall TestLab's total liability to you for all damages, losses, and causes of action exceed the total amount paid by you to TestLab for services during the twelve months preceding the claim, or ¥50,000, whichever is less.

Exceptions

These limitations do not apply to liability that cannot be excluded or limited under applicable law, including liability for death or personal injury caused by our negligence, fraud, or fraudulent misrepresentation.

Indemnification

You agree to indemnify, defend, and hold harmless TestLab, its officers, directors, employees, instructors, agents, and affiliates from and against any and all claims, liabilities, damages, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising from:

A. Your violation of these Terms and Conditions
B. Your violation of any applicable laws or regulations
C. Your violation of any third-party rights, including intellectual property rights
D. Content you submit or actions you take on our platform
E. Unauthorized access to your account due to your failure to secure credentials

Privacy and Data Protection

Your use of TestLab services is also governed by our Privacy Policy, which is incorporated into these Terms and Conditions by reference. By agreeing to these terms, you also agree to our data collection, use, and protection practices as described in our Privacy Policy.

Force Majeure

TestLab shall not be liable for any failure to perform obligations under these Terms and Conditions if such failure is caused by circumstances beyond our reasonable control, including but not limited to:

• Natural disasters, earthquakes, floods, or severe weather events
• Acts of war, terrorism, civil unrest, or government actions
• Pandemics, epidemics, or public health emergencies
• Power outages, telecommunications failures, or internet service disruptions
• Labor disputes or strikes affecting essential services

Dispute Resolution

Informal Resolution

Before initiating any formal dispute resolution process, you agree to contact us directly to attempt to resolve any disagreements or concerns informally. Most disputes can be resolved through good-faith negotiation, and we are committed to working with you to find a mutually acceptable solution.

Governing Law and Jurisdiction

These Terms and Conditions shall be governed by and construed in accordance with the laws of, without regard to its conflict of law provisions. Any legal action or proceeding arising under these terms shall be brought exclusively in the courts located in Tokyo, and you hereby consent to the personal jurisdiction of such courts.

Severability and Waiver

Severability

If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such provision shall be modified to the minimum extent necessary to make it valid and enforceable. If modification is not possible, the provision shall be severed, and the remaining provisions shall continue in full force and effect.

Waiver

No waiver of any term or condition of these Terms and Conditions shall be deemed a further or continuing waiver of such term or any other term. Our failure to assert any right or provision under these terms shall not constitute a waiver of such right or provision.

Entire Agreement

These Terms and Conditions, together with our Privacy Policy and any other policies referenced herein, constitute the entire agreement between you and TestLab regarding the use of our services and supersede all prior agreements, understandings, and communications, whether written or oral, relating to the subject matter herein.

Modifications to Terms
